Prepayment risk is a risk common to many securitized assets. Prepayment risk refers to the risk that some assets, often loans, are paid off early and the investor receiving those prepayments may be forced to reinvest the prepaid funds at lower market rates.

The reinvestment of these prepaid assets then results in a lower-than-expected overall return on the assets.
